Terms and conditions
Draft version for legal review. Last updated: date to add
1. Who we are
Milo is provided by Avijol Technologies Ltd, a company registered in England and Wales under company number to add, with its registered office at registered office address ("we", "us", "our"). You can contact us at hello@milo.datavalley.ai.
2. These terms
These terms govern your use of Milo, including the web application, its products (Flow, Docs, Whiteboards, Retro, Chat, Forms, Desk and AI), its application programming interfaces and its MCP server (together, the "Service").
If you use the Service on behalf of a company or other organisation, you confirm that you have authority to accept these terms for it, and "you" means that organisation. The organisation that creates a workspace is the "Customer". People the Customer invites are "Users".
By creating an account or using the Service you accept these terms. If you do not accept them, do not use the Service.
3. Accounts and workspaces
- You must give accurate information when you create an account and keep it up to date.
- You are responsible for keeping your sign-in details and any access keys secret, and for everything done under your account or with your keys.
- Workspace administrators control who can join a workspace, what each member can see and do, and which agents are added. The Customer is responsible for the actions of its Users and of the agents it adds or connects.
- You must be at least 16 years old to use the Service.
- Tell us straight away at
hello@milo.datavalley.aiif you think your account has been used without permission.
4. Plans, fees and credits
- A free trial is provided at no charge for the period and within the limits shown on our pricing page. When a trial ends without a paid plan, the workspace becomes read-only and its content stays available to export for a period before it is removed. Paid plans are charged per person or per team, per month or per year, as shown when you subscribe.
- Agents do not count as people for billing purposes.
- AI features consume AI credits. Each plan includes a monthly allowance of credits, pooled across the workspace. Unused credits do not roll over to the next month unless we say otherwise in writing. Credits have no cash value and cannot be transferred between workspaces.
- Fees are payable in advance for each billing period and are exclusive of VAT and other taxes, which we will add where they apply.
- Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time; cancellation takes effect at the end of the current period.
- Except where the law requires otherwise, fees already paid are not refundable.
- We may change our prices. We will give you at least 30 days' notice of any increase, and it will apply from your next renewal.
- If a payment fails we may, after notice, make the workspace read-only or suspend paid features until payment is made.
5. Your content
"Customer Content" means everything you, your Users or your agents put into the Service, such as work items, documents, whiteboards, messages, form responses and tickets, and the output the Service produces from it for you.
- You keep all rights in your Customer Content.
- You give us a licence to host, copy, process, transmit and display Customer Content only as needed to provide, secure and support the Service for you, and as described in our privacy policy.
- You are responsible for your Customer Content and for having the rights and permissions needed to put it into the Service, including personal data about other people.
- Content you publish through public features, such as a hosted form, a Desk widget or a shared board link, can be seen by anyone with the link. You decide what to publish.
6. AI features and agents
- The Service includes features that use artificial intelligence models provided by third parties, and lets you add AI agents to your workspace, including outside agents connected through our MCP server.
- AI output can be wrong, incomplete or unsuitable. You are responsible for reviewing AI output and agent actions before relying on them, especially for code, legal, financial or safety-related decisions.
- Agents act with the permissions you give them. Workspace controls such as spend caps, approvals for high-impact actions and the kill switch are there to help you, but you remain responsible for the agents you add and the instructions you give them.
- We send Customer Content to AI model providers only as needed to perform the AI features you use. Confirm: we do not use Customer Content to train AI models, and our model providers are contractually barred from doing so.
- Cost and token figures shown in the Service are estimates provided for your information. Your bill is based on credits as set out in your plan.
7. Acceptable use
You must not, and must not let any User or agent:
- break the law, or infringe anyone's intellectual property, privacy or other rights;
- upload malware, or try to gain unauthorised access to the Service, other workspaces or our systems;
- probe, scan or test the vulnerability of the Service without our written permission;
- use the Service to send spam, or to collect personal data through forms or tickets without a lawful basis;
- overload the Service, or get around usage limits, credit limits or access controls;
- use the Service or its AI features to create content that is unlawful, harassing, hateful, sexually exploitative or deceptive, or to develop a competing product by copying the Service;
- resell or sublicense the Service except as we agree in writing.
8. Third-party services
The Service can connect to services run by others, such as GitHub, email providers and outside AI agents. Your use of those services is governed by their own terms. We are not responsible for them, and a connection may stop working if the other service changes.
9. Availability and changes
We work to keep the Service available and secure, but we do not promise it will be uninterrupted or free of errors. We may carry out maintenance and will try to give notice of planned work that affects availability. Enterprise customers may agree a service level in a separate written agreement.
We improve the Service continually and may add, change or remove features. If we remove a feature that is material to a paid plan, we will tell you in advance and, where appropriate, offer a pro-rata refund of prepaid fees for that feature.
10. Our intellectual property
We and our licensors own all rights in the Service, including its software, design and documentation. We give you a non-exclusive, non-transferable right to use the Service during your subscription in line with these terms. If you send us feedback, we may use it without any obligation to you.
11. Confidentiality
Each of us will keep the other's confidential information confidential and use it only to perform or receive the Service, except where disclosure is required by law. Customer Content is your confidential information.
12. Data protection
When we process personal data within Customer Content on your behalf, we act as your processor and our Data Processing Addendum (to publish) forms part of these terms. When we process personal data for our own purposes, such as running accounts and billing, we act as controller as described in our privacy policy.
13. Warranties
We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided "as is", and we exclude all other warranties, conditions and terms, whether express or implied.
14. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
- Subject to that, neither of us is liable for loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
- Subject to that, each party's total liability arising out of or in connection with these terms in any 12-month period is limited to the fees paid or payable by the Customer for the Service in that period, or £100 if greater.
- If you use the Service as a consumer, you have legal rights that these terms do not affect.
15. Suspension and termination
- You can stop using the Service and close your workspace at any time.
- We may suspend or end access if you seriously or repeatedly break these terms, if you do not pay, or if we must to protect the Service, other customers or the law. Where reasonable we will warn you first and give you a chance to put things right.
- After a workspace is closed, you can export your Customer Content for 30 days. After that we will delete it within a reasonable period, except where we must keep it by law.
- Sections that by their nature should continue after termination, including 5, 10, 11, 14 and 17, will continue.
16. General
- We may update these terms. We will give at least 30 days' notice of material changes by email or in the Service. If you continue to use the Service after a change takes effect, the new terms apply.
- Neither of us is liable for delays caused by events beyond reasonable control.
- You may not transfer your rights under these terms without our consent. We may transfer ours to a company that takes over the Service.
- If any part of these terms is found unenforceable, the rest stays in force.
- These terms, with any order form and the Data Processing Addendum, are the whole agreement between us about the Service. No one else has rights under them under the Contracts (Rights of Third Parties) Act 1999.
17. Law and disputes
These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you are a consumer living elsewhere in the United Kingdom, you may also bring proceedings in your local courts.
